Equati Non-Disclosure Agreement (NDA)
Effective Date: Upon submission of materials via the Equati qualification application.
This Non-Disclosure Agreement ("Agreement") is entered into by and between Equati Technologies Limited, a company incorporated in England and Wales, with registered office at 124 Finchley Road, London NW3 5JS (“Equati”), and the business entity ("Disclosing Party") submitting materials through the Equati application process.
1. Purpose
The Disclosing Party agrees to share confidential and proprietary information, including but not limited to pitch decks, financial models, capitalization tables, intellectual property documentation, and valuation evidence, for the sole purpose of evaluation by Equati and its authorized partner, ARIISE™ Partners, in connection with qualification for onboarding and potential listing on the Equati platform for family office investor review and potential investment.
2. Confidentiality Obligations
Equati and ARIISE™ Partners (collectively, “Receiving Parties”) agree to:

Use submitted information exclusively for evaluation, qualification, onboarding, or investor-readiness preparation;

Limit access to only those employees, contractors, consultants, or professional advisors who need to know the information to fulfill their roles in the onboarding process;

Ensure all such individuals are subject to binding confidentiality obligations that are no less restrictive than those contained in this Agreement;

Maintain the confidentiality of all submitted materials and not disclose to any external third party without prior written consent from the Disclosing Party;

Implement reasonable administrative, technical, and organizational safeguards to protect the confidentiality and integrity of materials received.
This obligation applies to all Equati and ARIISE employees, contractors, and agents, regardless of jurisdiction.
3. Information Ownership
All submitted materials remain the sole property of the Disclosing Party. Nothing in this Agreement transfers ownership. Equati and ARIISE’s use of the materials is limited to the scope of review, qualification, and onboarding to the platform.
4. Data Protection
Equati and ARIISE will collect and process data in accordance with Equati’s Privacy Notice and all applicable data protection laws, including the UK GDPR. Businesses are responsible for ensuring they have the legal right to share this data.
5. Role of ARIISE Partners
The Disclosing Party acknowledges that ARIISE Partners, LLC is Equati’s exclusive diligence and onboarding partner, authorized to receive, review, and assess submissions against Equati’s approval criteria.
6. Exclusions
This Agreement does not apply to information that:

Is or becomes publicly known through no breach of this Agreement;

Was lawfully known by the Receiving Parties without obligation of confidentiality;

Is independently developed by the Receiving Parties;

Is required to be disclosed by law or court order, with notice where legally permissible.
7. Authority to Bind
By submitting materials, the individual affirms that they are authorized to act on behalf of the business and bind it to this Agreement.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Mutuality and Sufficiency of Agreement
This is a mutual agreement. Equati and ARIISE agree to protect all information submitted under this Agreement. The Disclosing Party agrees that:

This NDA governs all materials submitted to Equati and ARIISE for evaluation, qualification, and onboarding;

No separate NDA will be required to perform these activities;

This Agreement is binding upon all relevant Equati and ARIISE personnel involved in diligence or onboarding.
10. Notice to Disclosing Businesses
To avoid ambiguity or the need for further legal documentation:

This NDA serves as a binding mutual confidentiality agreement between Equati, ARIISE Partners, and any business submitting materials via the qualification process for qualifying and potentially onboarding the Equati platform.

No separate or additional NDA will be issued or required to review pitch decks, financials, IP documentation, or due diligence related materials.

This Agreement covers all access, storage, and use of submitted information by Equati, ARIISE Partners, and their respective employees, contractors, or designated advisors.

Businesses are advised to only submit materials they are legally authorized to share, and which they intend for review as part of the Equati onboarding process.
